This Marketplace Addendum to Western Cloud Data Customer Agreement for Amazon Web Services (Ningxia Region) (this “Marketplace Addendum”) is entered into by and between Ningxia Western Cloud Data Technology Co., Ltd. (“Western Cloud Data”, “we” or “us”) and you or the entity you represent (“you”). This Marketplace Addendum takes effect when you click a “Subscribe” or “Accept Terms” button presented with these terms to subscribe to any Marketplace Content (“Addendum Effective Date”). This Marketplace Addendum supplements the Western Cloud Data Customer Agreement for Amazon Web Services (Ningxia Region) available at https://www.amazonaws.cn/agreement/ningxia (as updated from time to time) or other written agreement between you and Western Cloud Data governing your use of the Services (the “Agreement”). You represent to us that you are lawfully able to enter into contracts (e.g., you are not a minor). If you are entering into this Marketplace Addendum and subscribe to any Marketplace Content (as defined below) for an entity, such as the company you work for, you represent to us that you have legal authority to bind that entity. Unless otherwise defined in this Marketplace Addendum, all capitalized terms used in this Marketplace Addendum will have the meanings ascribed to them in the Agreement. The parties agree as follows:
本《西云数据关于亚马逊云科技（宁夏区域）的客户协议》之市场附录（本“市场附录”）由宁夏西云数据科技有限公司（“西云数据”或“我们”）和您或您所代表之实体（“您”）签订，对发布在https://www.amazonaws.cn/agreement/ningxia, 由您与西云数据签订的《西云数据关于亚马逊云科技（宁夏区域）的客户协议》及其不时更新的版本或者您与西云数据就使用“服务”签署的其他书面协议（“协议”）进行补充。一旦您点击与本“市场附录”条款同时显示的“订阅”或者“接受条款”按钮订阅任何“市场内容”（定义见下文），本“市场附录”即告生效（“附录生效日”）。您向我们声明，您具有订立合同的法律能力（例如，您不是未成年人）。若您作为某一实体（如您的雇主）的代表签订本“市场附录”并订阅“市场内容”，您向我们声明，您具有约束该实体之合法权限。除非在本“市场附录”中另有定义，本“市场附录”中所有引号内术语均具有“协议”中赋予的含义。双方约定如下：
1. Amazon Web Services Marketplace China and Marketplace Content
“亚马逊云科技 Marketplace”和“市场内容”
1.1 The Amazon Web Services Marketplace China is a digital catalog located at https://awsmarketplace.amazonaws.cn/ (as it may be updated by us from time to time), which allows Content to be offered, sold, and bought. Content may be offered by us or a third party in the form of a) AMI (defined below) or b) a SaaS service account. This Marketplace Addendum is only applicable to your purchase of Content sold by us through Amazon Web Services Marketplace China (“Marketplace Content”). The Marketplace Content is considered Service Content under the Agreement and all terms in the Agreement applicable to Service Content will apply to the Marketplace Content.
“亚马逊云科技 Marketplace”是位于 https://awsmarketplace.amazonaws.cn/（可由我们不时更新）的用于提供、销售和购买内容的数字产品目录。我们或者第三方主体可以通过a）AMI（定义如下）或者b）SaaS服务账号的方式提供“内容”。本“市场附录”只适用于您购买我们在“亚马逊云科技 Marketplace”上销售的“内容”（“市场内容”）的情形。“市场内容”属于“协议”中定义的“服务内容”。“协议”中所有适用于“服务内容”的条款均适用于“市场内容”。
1.2 “AMI” means the Content provided in the Amazon Machine Image format, as specified by us and as may be updated from time to time.
“AMI”是指以Amazon Machine Image格式提供的内容，该种格式由我们制定并可能会不时更新。
1.3 All Marketplace Content sold by us through Amazon Web Services Marketplace China is originally provided by third party publishers (“Publisher”). Unless otherwise specified during your purchase of the Marketplace Content, the Publisher is responsible for all product and service issues of the Marketplace Content, including without limitation matters related to any intellectual property, regulatory compliance, errors, defects and technical support. We will provide reasonable assistance (at our discretion) to facilitate your engagement with the Publisher to resolve your product and service issues. The Publisher may specify separate terms and conditions for the use of the Marketplace Content (“Publisher Terms”), which will be made available to you during your purchase of the Marketplace Content.
所有由我们在“亚马逊云科技 Marketplace”出售的“市场内容”均来源于第三方发布商（“发布商”）。除非在您购买“市场内容”时另行特别约定，“发布商”对“市场内容”所有产品和服务问题负责，包括知识产权问题、“市场内容”合规、“市场内容”缺陷以及技术支持事项。我们会在我们自主决定的范围内向您提供合理协助以接洽“发布商”解决您的产品和服务问题。“发布商”可对“市场内容”的使用制定其他条款和条件（“发布商条款”），并在您购买“市场内容”时提供给您。
1.4 Marketplace Content may contain certain third-party generative AI models and deep synthesis algorithms. The intellectual property rights of third-party models included in Marketplace Content are owned by the respective Publisher(s) or their licensor(s). As we only provide licenses for using Marketplace Content or for accessing SaaS service accounts under the authorization from the Publishers, we are not a generative AI service provider, deep synthesis service provider, deep synthesis technical supporter, or any other service or technology providers as regulated by applicable generative AI-related laws and regulations. We cannot guarantee the legality, accuracy, or completeness of content generated through generative AI models included in Marketplace Content, due to the limitations and nature of generative AI technology. The generated content does not represent the opinions of us. We are not liable for any direct or indirect losses arising from the use of the generated content.
“市场内容”可能包含第三方提供的生成式人工智能模型与深度合成算法。“市场内容”中包含的第三方模型知识产权由相应“发布商”或其许可方所有。鉴于我们仅在“发布商”的许可下为您提供使用“市场内容”或访问相应SaaS服务账号的许可，我们不构成有关法律法规下的生成式人工智能服务提供者、深度合成服务提供者、深度合成服务技术支持者、或其他生成式人工智能相关法律法规所适用的服务或技术提供者。因生成式人工智能技术的局限性与特殊性，我们不能保证本服务下输出内容合法、真实、准确、完整，输出的内容也不能代表我们的观点，我们不承担由此带来的任何直接或间接损失。
1.5 You agree to purchase and use the Marketplace Content pursuant to the Agreement, this Marketplace Addendum and the Publisher Terms. However, if there is any difference between the Agreement (as supplemented by this Marketplace Addendum), and the Publisher Terms or other terms governing the use of the Marketplace Content established by the Publisher, the former will control. If no Publisher Terms are applicable to the Marketplace Content, you agree to use the Marketplace Content pursuant to the Agreement (as supplemented by this Marketplace Addendum).
您同意根据“协议”、本“市场附录”和“发布商条款”购买和使用“市场内容”。但是，如果“协议”（依本“市场附录”增补之后）和“发布商条款”或者“发布商”对“市场内容”的使用的其他规定之间存在任何差异时，以“协议”为准。当不存在可适用于“市场内容”的“发布商条款”时，您同意根据“协议”（依本“市场附录”增补之后）使用“市场内容”。
1.6 We may impose transaction limits relating to the value of the transaction of the Marketplace Content and we may withhold for investigation or refuse to process transactions that we suspect are fraudulent, unlawful or otherwise violate the terms of the Agreement and this Marketplace Addendum.
我们有权对“市场内容”的交易额进行限制，同时也有权将我们怀疑是欺诈、非法或者其他违反“协议”和本“市场附录”的交易进行暂扣调查或者拒绝交易。
2. Subscription of Marketplace Content
“市场内容”的订阅
2.1 If you subscribe Marketplace Content we offer, you should complete the online subscription process on the Amazon Web Services China Site.
如您订阅我们提供的“市场内容”，您应在“亚马逊云科技中国网站”完成在线订阅流程。
2.2 The subscription of the Marketplace Content is non-refundable, unless otherwise agreed in writing between you and us for your subscription of a specific Marketplace Content.
对“市场内容”的订阅不可退款，除非您与我们就您对某一“市场内容”的订阅另行达成书面协议。
3. Payment and Delivery
付款及交付
3.1 Payment. For Marketplace Content with usage based pricing models , you will pay us the fees and charges for your use of the Marketplace Content according to Section 3 of the Agreement. For Marketplace Content with upfront commitment pricing models, we will bill fees and charges upon your subscription and you will pay the bill within the payment term as agreed in Section 3 of the Agreement.
支付。就定价计划是按实际用量付费的“市场内容”，您应根据“协议”第3条的约定向我们支付您使用“市场内容”的费用。就定价计划是按预付费的“市场内容”，在您订阅时即会出具订阅账单且您应根据“协议”第3条约定的付款期限支付账单。
3.2 Delivery. You may start to use Marketplace Content you subscribed after you complete the online subscription process for AMI or you create a SaaS account. We may suspend your use of Marketplace Content in the event of overdue and uncollected payments, upon providing you with at least 30 days’ advance written notice.
交付。您可以在完成AMI在线订阅流程后或者注册SaaS账号后开始使用购买的“市场内容”。如您未按约定支付使用“市场内容”的费用，我们有权在提前30天发出通知后暂停您使用“市场内容”。
4. Use of Marketplace Content
“市场内容”的使用
4.1 You will not use the Marketplace Content for illegal purposes nor for conducting any activities that are prohibited by the laws, regulations, and applicable policies of China.
您不会出于非法目的使用“市场内容”，也不会将其用于中国法律法规和相关政策禁止的任何行为。
4.2 You must comply with all applicable laws and regulations when developing generative AI or deep synthesis applications, technologies or services in China using Marketplace Content, including without limitation, conducting security assessments, filing deep synthesis algorithms as a technical supporter and/or service provider, and/or completing a generative AI service filing.
若您利用“市场内容”自行开发并在中国境内提供生成式人工智能或深度合成应用、技术或服务，您应当遵守所有适用的法律法规，包括但不限于开展安全评估、申请深度合成算法备案、和/或完成生成式人工智能服务备案。
5. Indemnification. SUBJECT TO SECTION 7 OF THE AGREEMENT, YOU WILL DEFEND, INDEMNIFY, AND HOLD HARMLESS US AND THE TECHNICAL PROVIDERS AND EACH OF OUR AND THEIR RESPECTIVE AFFILIATES, LICENSORS, EMPLOYEES, OFFICERS, DIRECTORS, AND REPRESENTATIVES FROM AND AGAINST ANY LOSSES ARISING OUT OF OR RELATING TO ANY THIRD-PARTY CLAIM CONCERNING: (A) YOUR OR ANY END USERS’ USE OF MARKETPLACE CONTENT OR (B) A DISPUTE BETWEEN YOU AND ANY PUBLISHER.
赔偿。基于“协议”第7条，对因与下述各项有关的任何第三方索赔引起的或与之相关的任何“损失”，您应为我们、“技术提供商”、二者的关联方、许可方及其每一员工、主管人员、董事和代表抗辩，为之提供赔偿，并使之免受损害：（a）您或任何“最终用户”对“市场内容”的使用及（b）您与任何“发布商”之间的争议。
6. Nondisclosure. You acknowledge that any non-public information that you are aware of during your subscription to and/or use of the Marketplace Content constitutes Confidential Information under the confidentiality provisions of the Agreement. You permit us to share information about you and your use of Marketplace Content to the extent necessary and only for the purpose of enabling the Publisher (a) to provide billing services, customer training and technical support to you, (b) for activation, configuration and customization of the Marketplace Content, and (c) for computation of Publisher’s internal sales metrics.

7. Term. This Marketplace Addendum will remain valid throughout the term of the Agreement. However, we may terminate the Marketplace Addendum in accordance with the Agreement, or terminate your use of certain Marketplace Content upon termination of our agreement with the corresponding Publisher.
有效期限。本“市场附录”在“协议”有效期内持续有效。但是，我们有权根据“协议”终止本“市场附录”，或者在我们与相应“发布商”的协议终止后终止您使用特定的“市场内容”。
8. Modifications to the Marketplace Addendum. We may modify this Marketplace Addendum at any time by posting a revised version on the Amazon Web Services China Site or by otherwise notifying you in accordance with Section 11.10 of the Agreement. The modified terms will become effective upon posting or, if we notify you by email, as stated in the email message. By continuing to use the Marketplace Content after the effective date of any modifications to this Marketplace Addendum, you agree to be bound by the modified terms. It is your responsibility to check the Amazon Web Services China Site regularly for modifications to this Marketplace Addendum. We last modified this Marketplace Addendum on the date listed at the beginning of this Marketplace Addendum.
本“市场附录”之修改。我们可通过在“亚马逊云科技中国网站”上发布修改后版本，或根据“协议”第11.10条规定通过其他方式向您告知的方式，随时修改本“市场附录”。修改后的条款将在发布后生效；若我们通过电子邮件告知您该等修改，则以电子邮件中所述的生效时间为准。您在本“市场附录”任何修改的生效日后继续使用“市场内容”，即表明您同意受已修改条款之约束。您有责任定期检查“亚马逊云科技中国网站”，查阅本“市场附录”之修改。本“市场附录”最近一次的修改日期见本“市场附录”文首。
9. Entire Agreement; Conflict. Except as supplemented by this Marketplace Addendum, the Agreement will remain in full force and effect. The Marketplace Addendum, together with the Agreement as supplemented by this Marketplace Addendum: (a) is intended by the parties as a final, complete and exclusive expression of the terms of their agreement, and (b) supersedes all prior agreements and understandings between the parties with respect to the subject matter hereof. If there is a conflict between the Agreement and this Marketplace Addendum, the terms of this Marketplace Addendum will control.
完整协议；冲突。除经本“市场附录”的增补之外，“协议”保持完整效力。本“市场附录”以及经由本“市场附录”增补的“协议”：（a）构成双方之间最终、完整和排他的约定，且（b）取代双方之间就本“市场附录”之标的达成的所有在先协议和谅解。如果“协议”与本“市场附录”之间存在冲突，则以本“市场附录”为准。
